Welcome to FactoryLogic.ai! These Terms of Service (“Terms”) govern your access to and use of the FactoryLogic.ai website and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
1. Acceptance of Terms
By using the Service, you represent that you have read, understood, and agree to be bound by these Terms. You also represent that you are of legal age to form a binding contract with FactoryLogic.ai and have the authority to enter into these Terms personally or on behalf of the entity you represent.
2. Description of Service
FactoryLogic.ai provides custom AI tools that are trained using operating manuals for various types of equipment. These manuals are not created or managed by FactoryLogic.ai; they are solely used to train the AI.
3. User Responsibilities
3.1 Account Registration: To access certain features of the Service, you may be required to register for an account. You agree to provide accurate and complete information when creating your account and to keep this information up to date.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify FactoryLogic.ai immediately of any unauthorized use of your account.
3.3 Compliance: You agree to use the Service in compliance with all applicable laws and regulations and not to engage in any conduct that may harm FactoryLogic.ai, its users, or third parties.
4. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. FactoryLogic.ai disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance.
5. Limitation of Liability
5.1 No Responsibility for Manuals: FactoryLogic.ai does not create or manage the operating manuals used to train the AI tools. The accuracy and completeness of these manuals are the responsibility of their respective authors.
5.2 No Liability for Use: FactoryLogic.ai shall not be liable for any injury, damage, or faults that occur from the use of the AI tools provided by the Service. You use the Service at your own risk.
5.3 Limitation: To the maximum extent permitted by applicable law, in no event shall FactoryLogic.ai, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (vi) user content or the defamatory, offensive, or illegal conduct of any third party.
6. Indemnification
You agree to indemnify, defend, and hold harmless FactoryLogic.ai, its affiliates, licensors, service providers, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of the Service, including any use that violates these Terms of Service or any applicable law or regulation;
- Your violation of any rights of another party, including but not limited to intellectual property rights, privacy rights, and other proprietary rights;
- Any content or data you provide to the Service, including but not limited to the accuracy, quality, legality, and completeness of such content or data;
- Any injury, damage, or faults that occur as a result of using the AI tools provided by FactoryLogic.ai, regardless of whether such use is consistent with the provided guidelines and instructions.
FactoryLogic.ai reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with FactoryLogic.ai’s defense of such claim.
